    Please read these Terms carefully before engaging Strativyx's services. By signing a Service Agreement or accessing our platform, you agree to be bound by these Terms.

    1. DEFINITIONS

    • "Agreement" means these Terms of Service together with any executed Service Agreement, Statement of Work, or Order Form between Strativyx and Client.
    • "Strativyx," "we," "us," or "our" means Strativyx LLC, a Virginia limited liability company.
    • "Client," "you," or "your" means the business entity or individual entering into a Service Agreement with Strativyx.
    • "Services" means AI voice agents, AI chatbots, CRM setup and automation, Google Local Service Ads (LSA) management, reputation management, SMS and call automation, lead generation, and related digital marketing and AI powered growth systems services, as further described in your Service Agreement.
    • "Platform" means GoHighLevel (GHL) and any related sub-accounts, dashboards, portals, or third-party tools provisioned by Strativyx on your behalf.
    • "AI Systems" means artificial intelligence tools, voice agents, chatbot workflows, automated response systems, and machine-learning components deployed on your behalf by Strativyx.
    • "Client Data" means any information, content, contacts, call recordings, or data you provide to Strativyx or that is generated through your use of the Services.
    • "End Customers" means your customers or prospects who interact with AI Systems or other tools deployed by Strativyx on your behalf.

    2. SERVICES

    2.1 Scope of Services

    Strativyx engineers AI Growth Systems that fully automate the lead capture, follow-up, conversion, and retention infrastructure for service-based businesses — so growth happens systematically, not by chance. We serve small and medium-sized businesses (SMBs) across all industries, including but not limited to: home services, legal services, healthcare-adjacent services, real estate, professional services, retail, hospitality, and service-based businesses of all kinds. The specific services delivered to you are detailed in your executed Service Agreement.

    2.2 AI System Limitations

    You acknowledge and agree that AI Systems are probabilistic tools with inherent limitations, including the following:

    • AI voice agents and chatbots may misunderstand or respond inaccurately to End Customer inquiries.
    • AI-generated responses do not constitute professional, legal, medical, or financial advice of any kind.
    • Performance results — including lead volumes, conversion rates, and revenue outcomes — vary based on market conditions, call volume, business responsiveness, and data quality. Strativyx makes no guarantee of specific outcomes.
    • AI Systems require ongoing monitoring and calibration; Client is responsible for reviewing AI interactions and notifying Strativyx of material errors.

    2.3 Third-Party Platforms

    Delivery of Services may depend on third-party platforms including GoHighLevel, Twilio, Google Ads, and OpenAI. Strativyx is not responsible for outages, pricing changes, policy updates, or service interruptions caused by these third parties. You agree to comply with the terms of service of all third-party platforms used in delivering your Services.

    2.4 Field Operations and Existing Software

    Strativyx does not manage, access, or modify your existing field operations software, scheduling platforms, or internal management tools unless explicitly stated in your Service Agreement. Strativyx's role is to generate and deliver qualified leads into your pipeline; downstream operations remain your responsibility.

    3. ONBOARDING AND CLIENT RESPONSIBILITIES

    3.1 Your Obligations

    You agree to:

    • Provide accurate business information — including service areas, hours of operation, and licensing or credential details — required for platform setup and ad account management.
    • Respond to Strativyx onboarding requests within five (5) business days to avoid delays in go-live timelines.
    • Ensure that any call recordings, customer data, or contact lists provided to Strativyx were collected with proper and documented consent.
    • Comply with all applicable federal, state, and local laws governing your business operations, including any professional licensing, permitting, or industry-specific compliance requirements.
    • Maintain any required professional licenses, insurance certificates, or regulatory credentials relevant to your industry throughout the term of this Agreement.

    3.2 AI Training Data

    If you provide scripts, FAQs, call recordings, or customer interaction data to train or configure AI Systems, you represent that you own or have the legal right to use such data and that its use does not violate any third-party rights or applicable law.

    3.3 Review and Reputation Management

    You authorize Strativyx to implement review request automations on your behalf. You agree that all review solicitations comply with applicable platform policies (including Google's review policies) and the FTC's endorsement and testimonial guidelines. You may not use Strativyx's systems to offer incentives in exchange for positive reviews.

    4. PAYMENT TERMS

    4.1 Fees

    Fees are set forth in your Service Agreement. Unless otherwise stated:

    • Setup fees are due upon Agreement execution and are non-refundable.
    • Monthly retainer fees are billed in advance on the first (1st) day of each billing cycle.
    • All fees are denominated in U.S. dollars.

    4.2 Payment Processing

    Payments are processed via Stripe or such other method as stated in your Service Agreement. By providing payment information, you authorize Strativyx to charge recurring fees for the duration of your Agreement. You are responsible for keeping your payment information current and accurate.

    4.3 Late Payment

    Invoices unpaid ten (10) calendar days after the due date are subject to a 1.5% monthly late fee on the outstanding balance. Strativyx reserves the right to suspend Services on invoices overdue by more than fifteen (15) calendar days, without liability to you for any losses arising from such suspension. Services will resume upon receipt of full payment, including any accrued late fees.

    4.4 Refund Policy

    Setup fees are non-refundable. Monthly retainer fees are non-refundable once a billing cycle has commenced. If Strativyx fails to deliver a material component of the agreed Services due to an error on Strativyx's part, you may request a pro-rated credit for the undelivered portion, subject to Strativyx's review and sole discretion.

    4.5 Price Changes

    Strativyx may adjust its pricing upon thirty (30) days' written notice to you. Continued use of Services after the effective date of a pricing change constitutes your acceptance of the revised fees.

    5. INTELLECTUAL PROPERTY

    5.1 Strativyx Ownership

    Strativyx retains all rights, title, and interest in and to: (a) all proprietary workflows, automations, AI architectures, system prompts, playbooks, and templates developed by Strativyx; (b) GoHighLevel sub-account configurations, pipeline structures, and automation sequences created by Strativyx; and (c) all methodologies, processes, and know-how used to deliver the Services. Nothing in this Agreement transfers ownership of Strativyx's intellectual property to Client.

    5.2 Client Data Ownership

    You retain full ownership of all Client Data. You grant Strativyx a limited, non-exclusive, royalty-free license to use Client Data solely for the purpose of delivering the Services under your Agreement. Upon termination, Strativyx will provide you with a data export within fourteen (14) business days of request, after which Strativyx will delete Client Data from its systems within sixty (60) days, except as required by law.

    5.3 Work Product

    Custom creative assets — including ad copy, graphics, scripts, and landing pages — created specifically for your business and fully paid for under your Service Agreement are owned by you upon receipt of full payment. Underlying templates, workflow structures, and system configurations remain the exclusive property of Strativyx.

    6. SERVICE LEVEL AGREEMENT

    6.1 Support

    Strativyx provides email and messaging support during normal business hours (Monday through Friday, 9:00 AM to 6:00 PM ET, excluding federal holidays). The target response time for support requests is one (1) business day.

    6.2 Platform Availability

    Strativyx targets 99% availability for its managed systems and automations. Scheduled maintenance windows and third-party platform outages are excluded from availability calculations. Strativyx will provide reasonable advance notice of planned maintenance where possible.

    6.3 AI System Monitoring

    AI voice agents and chatbots are subject to periodic quality review. Strativyx will make commercially reasonable efforts to correct material errors in AI responses within five (5) business days of receiving written notification from Client.

    7. TELEPHONE AND COMMUNICATIONS COMPLIANCE

    7.1 TCPA Compliance

    Client is solely responsible for ensuring that all SMS, voice, and automated communication campaigns conducted through Strativyx-managed systems comply with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable federal and state communications laws. Strativyx will implement technical opt-out mechanisms as required; however, Client remains the responsible party for obtaining and documenting consumer consent prior to sending automated communications.

    7.2 A2P 10DLC Registration

    For SMS campaigns, Client acknowledges that A2P 10DLC carrier registration is required. Strativyx will assist Client in completing this registration using information provided by Client. Client represents that all information submitted for carrier registration is accurate and complete. Delays or denials caused by inaccurate information provided by Client are not the responsibility of Strativyx.

    7.3 Call Recording

    Where call recording is enabled as part of the Services, Client is responsible for ensuring compliance with all applicable federal and state wiretapping, call recording, and notification laws, including two-party consent requirements where applicable.

    7.4 SMS Program Terms

    You can cancel the SMS service at any time. Just text "STOP" to the +1 571-520-5216. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

    Carriers are not liable for delayed or undelivered messages.

    8. CONFIDENTIALITY

    Each party agrees to keep confidential any non-public information disclosed by the other party in connection with this Agreement ('Confidential Information'), and to use such information solely for the purposes of this Agreement. This obligation does not apply to information that: (a) was already known to the receiving party; (b) is or becomes publicly available through no fault of the receiving party; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or court order, provided the receiving party gives prompt written notice to the disclosing party. This confidentiality obligation survives termination of the Agreement for a period of two (2) years.

    9. TERMINATION

    9.1 Term

    This Agreement begins on the date your Service Agreement is executed and continues for the initial term specified therein. Unless either party provides written notice of non-renewal at least thirty (30) days before the end of the then-current term, this Agreement will automatically renew on a month-to-month basis.

    9.2 Termination for Cause

    Either party may terminate this Agreement immediately upon written notice if the other party: (a) materially breaches this Agreement and fails to cure such breach within fifteen (15) days of written notice; (b) becomes insolvent, makes an assignment for the benefit of creditors, or is subject to bankruptcy proceedings; or (c) engages in conduct that violates applicable law.

    9.3 Termination for Convenience

    Client may terminate this Agreement for convenience with thirty (30) days' written notice to Strativyx. Fees paid for the current billing cycle are non-refundable. Any outstanding balances due at the time of termination remain payable.

    9.4 Effect of Termination

    Upon termination: (a) all licenses granted herein terminate; (b) Client's access to the Platform and all Strativyx-managed tools will be deactivated; (c) Strativyx will provide a data export upon written request within fourteen (14) business days; and (d) any unpaid fees become immediately due and payable.

    10. LIMITATION OF LIABILITY

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATIVYX'S TOTAL CUMULATIVE LIABILITY TO CLIENT FOR ANY CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO STRATIVYX IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

    STRATIVYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, OR LOSS OF BUSINESS OPPORTUNITIES, EVEN IF STRATIVYX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY; IN SUCH CASES, STRATIVYX'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

    11. INDEMNIFICATION

    You agree to defend, indemnify, and hold harmless Strativyx, its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services in violation of this Agreement; (b) your violation of any applicable law or regulation; (c) your End Customers' claims arising from your business operations; (d) inaccurate information you provided to Strativyx; or (e) your failure to obtain required consents for automated communications or data collection.

    12. DISPUTE RESOLUTION

    12.1 Good Faith Negotiation

    The parties agree to attempt to resolve any dispute arising under this Agreement through good-faith negotiation for a period of thirty (30) days after written notice of the dispute is provided.

    12.2 Binding Arbitration

    If good-faith negotiation fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Loudoun County, Virginia. The arbitrator's decision shall be final and binding. Each party shall bear its own costs and attorneys' fees unless the arbitrator awards otherwise.

    12.3 Exceptions

    Notwithstanding the above, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm, without waiving the right to arbitration.

    12.4 Governing Law

    This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

    13. GENERAL PROVISIONS

    13.1 Entire Agreement

    This Agreement, together with any executed Service Agreement or Statement of Work, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, representations, and understandings.

    13.2 Amendments

    Strativyx may update these Terms from time to time. We will notify you of material changes via email or through the Platform at least fifteen (15) days before changes take effect. Continued use of the Services after the effective date constitutes acceptance.

    13.3 Severability

    If any provision of this Agreement is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

    13.4 Waiver

    Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that party's right to enforce it in the future.

    13.5 Force Majeure

    Neither party is liable for delays or failures caused by events beyond their reasonable control, including natural disasters, government actions, internet outages, or third-party platform failures.

    13.6 Independent Contractors

    Strativyx is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the parties.
